Agreement to Terms

By accessing or using the website and services of OVALIS PTY LTD (ACN 143 940 603), trading as Ovalis Managed Services, you agree to be bound by these Terms of Service and all applicable laws and regulations.  If you do not agree with any of these terms, you are prohibited from using or accessing our services.

Services Description

Ovalis Managed Services provides cybersecurity and managed IT services including but not limited to:

  • Cyber Smart — Managed IT & Security packages
  • 24/7 monitoring and help desk support
  • Essential Eight implementation and compliance
  • Microsoft Secure Score optimisation
  • Cyber awareness and AI safety training
  • Vulnerability and patch management
  • Password management solutions
  • Backup and disaster recovery
  • 3CX phone systems and business internet
  • Microsoft Teams calling

Service Level Agreement

Specific service levels, response times, and performance guarantees are detailed in your individual service agreement.  Our standard offerings include 24/7 monitoring and support with response times based on incident severity.

Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information
  • Grant necessary access to systems and infrastructure as required
  • Maintain appropriate insurance coverage
  • Comply with all applicable laws and regulations
  • Promptly report security incidents or concerns
  • Follow security best practices and recommendations

Payment Terms

Payment terms are specified in your service agreement.  Unless otherwise agreed, services are billed monthly in advance.  Late payments may result in service suspension and/or late payment fees as outlined in your agreement.

Confidentiality

We maintain strict confidentiality of all client information and data.  Our staff and contractors are bound by confidentiality agreements.  We will not disclose your information except as required by law or with your explicit consent.

Intellectual Property

All content, tools, software, and documentation provided by Ovalis Managed Services remain our intellectual property.  Clients receive a non-exclusive license to use these materials solely for the purposes specified in their service agreement.

Limitation of Liability

While we strive to provide the highest quality security services, no security measure is 100% effective.  Our liability is limited as specified in your service agreement.  We are not liable for damages resulting from circumstances beyond our reasonable control or from client failure to follow security recommendations.

Termination

Either party may terminate services according to the terms specified in the service agreement. Typical notice periods range from 30 to 90 days.  Termination does not relieve either party of obligations incurred prior to termination.

Dispute Resolution

Any disputes arising from these terms or our services shall be resolved through good faith negotiation.  If negotiation fails, disputes will be handled in accordance with the laws of New South Wales, Australia.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of New South Wales, Australia, and you irrevocably submit to the exclusive jurisdiction of the courts in that State.

Changes to Terms

We reserve the right to modify these terms at any time.  Changes will be effective immediately upon posting to our website.  Continued use of our services after changes constitutes acceptance of the modified terms.
